Shell Petroleum B.V. has agreed to sell its entire stake in Shell Nigeria Gas Group to Vaaris Energy Limited, a Nigerian company, marking its exit from Nigeria’s domestic gas distribution business.
The company announced the transaction in a statement on Tuesday, October 13, 2026, confirming that the deal covers its gas distribution operations serving customers within the country.
Shell Nigeria Gas has supplied gas to industrial and commercial customers in Nigeria for more than 25 years, supporting businesses across various sectors.
The company said the agreement would provide the business with a stronger foundation for its next phase of development under new ownership, while recognising the contributions and expertise of its workforce over the years.
Despite the planned divestment, Shell said it would maintain its focus on strategic deepwater operations and integrated gas projects in Nigeria.
The transaction transfers Shell’s full interest in the domestic gas distribution business to Vaaris Energy, although further details of the deal, including its financial terms and completion timeline, were not provided in the announcement.
